FREQUENTLY ASKED QUESTIONS

Frequently Asked Questions on Audit & Assurance

Statutory answers regarding Companies Act audits, CARO 2020 clauses, Section 63 (formerly Section 44AB) tax audits, and UDIN generation.

What is the mandatory MCA Audit Trail (Edit Log) requirement under Rule 11(g)?
Under Rule 11(g) of the Companies (Audit and Auditors) Rules, 2014, statutory auditors must report whether the company has used accounting software that has a feature of recording an audit trail (edit log) facility, operating throughout the year for all transactions, without being tampered with or disabled, and whether the audit trail has been preserved as per statutory retention rules.
What is the turnover threshold for mandatory Tax Audit under Section 63 (formerly Section 44AB)?
A tax audit is mandatory for a business whose total sales, turnover, or gross receipts exceed ₹1 Crore in a financial year. However, the threshold is enhanced to ₹10 Crores where aggregate cash receipts and aggregate cash payments do not exceed 5% of total transactions. For professionals, the threshold is ₹50 Lakhs (or ₹75 Lakhs under presumptive taxation where cash transactions do not exceed 5%).
Why is an ICAI Unique Document Identification Number (UDIN) mandatory on all audit reports?
The Institute of Chartered Accountants of India (ICAI) mandates that every practicing Chartered Accountant must generate a system-verified 18-digit UDIN for every audit report, tax certification, or attestation document. Regulators, including MCA, CBDT, GSTN, and commercial banks, verify this UDIN directly to prevent forged attestations and secure full legal authenticity.
Which companies are required to conduct an Internal Audit under Section 138 of the Companies Act, 2013?
Internal audit is mandatory for: (1) every listed company, (2) unlisted public companies with paid-up capital of ₹50 Crores or more, turnover of ₹200 Crores or more, outstanding loans/borrowings exceeding ₹100 Crores, or outstanding deposits exceeding ₹25 Crores, and (3) private companies having turnover of ₹200 Crores or more, or outstanding loans/borrowings from banks exceeding ₹100 Crores.
